Agreement to Terms

By accessing or using BadgeHero (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

Description of Service

BadgeHero is a digital badge and credential platform that allows users to create, issue, manage, and share digital badges. The Platform includes badge design tools, AI-powered badge generation, event-based badging, and marketplace features.

User Accounts

Account Creation

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 13 years old to use the Platform
  • One person or entity may not maintain multiple free accounts

Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breach.

Acceptable Use

You agree NOT to:

  • Create badges containing false, misleading, or fraudulent information
  • Issue badges for credentials you are not authorized to verify
  • Use the Platform for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Upload viruses, malware, or other malicious code
  • Scrape, harvest, or collect user data without permission
  • Impersonate another person or organization
  • Violate any applicable laws or regulations

Badge Issuance and Verification

Issuer Responsibilities

As a badge issuer, you:

  • Warrant that you have the authority to issue badges for the credentials represented
  • Are responsible for verifying the accuracy of badge criteria and recipient qualifications
  • Agree that issued badges may be publicly shared and verified by recipients
  • Understand that badges cannot be revoked after issuance (permanent record)

Recipient Rights

Badge recipients own their badges and may share them publicly. Recipients may request removal of badges from their profile, but the badge record remains on the blockchain for verification purposes.

Subscription and Payments

Free and Paid Plans

BadgeHero offers both free and paid subscription tiers. Paid plans provide additional credits, features, and capabilities.

Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payments are processed securely through Stripe
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change pricing with 30 days' notice

Credits

Daily credits reset every 24 hours. Purchased credits never expire. Credits are non-transferable and have no cash value.

Intellectual Property

Platform Ownership

BadgeHero owns all rights to the Platform, including software, design, trademarks, and branding. You may not copy, modify, or distribute our intellectual property without permission.

User Content

You retain ownership of badges, images, and content you create. By using the Platform, you grant BadgeHero a worldwide, non-exclusive license to host, display, and distribute your content as necessary to provide the service.

Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or abusive behavior
  • Fail to pay subscription fees
  • Use the Platform in a manner that harms BadgeHero or other users

You may terminate your account at any time through your account settings. Upon termination, your access to the Platform will cease, but issued badges will remain accessible to recipients.

Disclaimers and Limitations of Liability

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free service
  • Accuracy or completeness of badge information
  • Security against unauthorized access or data breaches
  • Compatibility with all devices and browsers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BADGEHERO SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, or business opportunities
  • Damages exceeding the amount you paid to BadgeHero in the past 12 months

Indemnification

You agree to indemnify and hold BadgeHero harmless from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
